These Terms of Use ("Terms") govern your use of the website at forms.emrflow.com (the "Site"), including your purchase, download, and use of the digital documents, form templates, and educational materials we offer (the "Materials"), and your use of the patient intake pages available on the Site. By using the Site, or by purchasing, downloading, requesting, or using the Materials, you agree to these Terms. If you don't agree, don't use the Site or the Materials.

1. What the Site offers

The Site is a storefront for editable form templates and educational resources designed for independent therapy, counseling, and small healthcare practices, delivered as digital files. The Materials are starting points designed to be filled in, adapted, and reviewed by your own attorney before use.

Some Materials are available for purchase now, some are offered at no charge in exchange for your contact information, and some are listed as coming soon so you can ask to be notified when they're available.

The Site also hosts a patient intake service that we operate on behalf of healthcare practices that use EMRFlow. Section 10 covers that service, including which of these Terms apply to it.

2. Not legal advice; no attorney-client relationship

The Materials are not legal advice, and your purchase or use of them does not create an attorney-client relationship with EMRFlow, Facets Novum, L.L.C., or any person associated with them. We are not a law firm and do not provide legal services. The Materials are not a substitute for advice from an attorney licensed in your state.

HIPAA, the HITECH Act, the No Surprises Act, and state privacy, mental-health-confidentiality, telehealth, and licensing laws vary by state and change over time. You are responsible for confirming that any document you use fits your license type, your services, your state, and how your practice actually operates.

3. No compliance guarantee

Purchasing or using the Materials does not, by itself, make your practice compliant with HIPAA or any other law. Real compliance also requires administrative, physical, and technical safeguards, workforce training, Business Associate Agreements with your vendors, ongoing risk analysis, and monitoring over time. We make no representation or warranty that the Materials are sufficient for, or will result in, compliance with any law or standard.

4. Support boundary

If you contact us, we can help with downloads, file formats, and finding your way around the Materials. We cannot give legal advice, review or edit your filled-in documents, recommend specific clauses for your situation, interpret the law as applied to your facts, or tell you whether your practice is compliant. Those questions are for an attorney licensed in your state.

5. License grant and restrictions

Subject to these Terms and, for paid Materials, your payment, EMRFlow grants you a limited, non-exclusive, non-transferable, single-practice license to use and adapt the Materials for that one practice's own internal operations. The same license terms apply to Materials we provide at no charge.

You may not:

  • Redistribute, resell, or sublicense the Materials.
  • Share the Materials with an unrelated practice.
  • Post the Materials publicly online.
  • Use the Materials to serve multiple clients as a consultant or service provider.
  • Create derivative template products from the Materials for distribution or sale.

This license does not transfer ownership of the Materials to you.

6. Intellectual property

The Materials, including their text, structure, and design, are owned by Facets Novum, L.L.C. and are protected by copyright and other intellectual property laws. Except for the license granted above, all rights are reserved. References to publicly available federal regulatory language (for example, HHS sample language) do not transfer any rights in those public sources.

7. Acceptable use

You agree to use the Site and the Materials only for lawful purposes and only as permitted by these Terms. You will not remove or obscure any copyright, version, or attribution notices contained in the Materials.

You will not submit false, misleading, or unlawful information through the Site's forms.

8. Purchases through Gumroad

Paid Materials are sold and delivered through Gumroad, a third-party payment and digital-delivery platform. When you buy, Gumroad collects and processes your payment directly; we do not receive or store your payment card information. Your purchase through Gumroad is also subject to Gumroad's own terms of service and privacy policy, and we are not responsible for the practices of Gumroad or any other third-party platform.

9. Coming-soon requests and free Materials

For Materials listed as coming soon, you can submit your name and email address to ask to be notified when they're available. Some Materials are offered at no charge in exchange for your name and email address. Submitting a request or downloading free Materials does not create a purchase, a reservation, or any obligation on our part to release a particular product, on any timeline or at all. How we handle the contact information you submit is described in our Privacy Policy.

10. Patient intake service

The Site's intake pages (forms.emrflow.com/intake) are a service we operate on behalf of healthcare practices that use EMRFlow. If you arrived at an intake page, it's because a healthcare practice sent you a link and asked you to complete its intake forms.

  • The information you enter on an intake page, including health information, is collected for and on behalf of that practice. The practice, not EMRFlow, is your healthcare provider, and your clinical relationship is with the practice.
  • The practice's own privacy notices, consents, and policies govern how it uses your information. Questions about your care or your records should go to the practice.
  • We act as the practice's technology vendor and handle intake information under HIPAA-aligned safeguards and our agreements with the practice.
  • Nothing on the Site is medical advice, and completing an intake form does not create a treatment relationship with EMRFlow or Facets Novum, L.L.C.

Which Terms apply to intake users. If you use the Site only to complete a healthcare practice's intake forms, the only provisions of these Terms that apply to you are: this Section 10; Section 7 (Acceptable use), solely as it requires you to use the Site lawfully, not misuse the intake service, and not knowingly submit false, misleading, or unlawful information; Section 17 (Governing law and disputes); Section 18 (Contact); and our Privacy Policy. The remaining sections of these Terms, including the license, intellectual-property, purchase, refund, no-obligation-to-update, warranty-disclaimer, limitation-of-liability, and indemnification provisions, are written for storefront customers who buy, download, or request the Materials, and they do not apply to you as a patient completing a practice's intake forms.

11. Disclaimer of warranties

The Site and the Materials are provided "as is" and "as available," without warranty of any kind. To the fullest extent permitted by law, EMRFlow and Facets Novum, L.L.C. disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, and disclaim any warranty that the Materials are complete, current, or sufficient for compliance with any law.

12. Limitation of liability

To the fullest extent permitted by law, EMRFlow and Facets Novum, L.L.C. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to the Site, the Materials, or these Terms, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site, the Materials, or these Terms will not exceed the amount you paid for the Materials.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless EMRFlow and Facets Novum, L.L.C. from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or the Materials, your practice's operations, or your breach of these Terms.

14. Refunds

Because the Materials are digital goods delivered immediately, all sales are final and non-refundable once the files have been delivered or downloaded, except where a refund is required by law or expressly stated at the point of sale.

Purchases made through Gumroad may also be subject to Gumroad's refund policies.

15. No obligation to update

We may revise the Materials from time to time but have no obligation to do so, and no obligation to notify you of changes or to provide updated versions after your purchase. Laws change; you are responsible for confirming, with your attorney, that the Materials remain appropriate for your use.

16. Changes to these Terms

We may update these Terms from time to time. The version in effect at the time of your purchase governs that purchase. Continued use of the Site or the Materials after an update constitutes acceptance of the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms, the Site, or the Materials will be resolved in the state and federal courts located in the State of Georgia, and you consent to their jurisdiction.
